1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of ReviewSimple's website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

ReviewSimple is a review automation platform that helps businesses collect customer reviews. Our Services include:

  • Automated SMS and email review request messaging
  • Smart routing technology that directs customers based on their rating
  • Dashboard for managing customers and tracking reviews
  • QR code generation for in-person review collection
  • Integration with review platforms (Google, Yelp, etc.)

3. SMS/Text Messaging Terms

SMS Service Description

ReviewSimple sends SMS text messages to your customers on your behalf to request reviews of their experience with your business.

Message Frequency: One (1) message per customer per service interaction. This is not a recurring messaging program.
Message Content: Messages will identify your business by name and include a link to rate their experience.
Message and data rates may apply. Standard carrier messaging rates apply to recipients.
Opt-Out: Recipients can reply STOP to any message to opt out of future messages.
Help: Recipients can reply HELP for support information.

Your Consent Obligations

By using ReviewSimple's SMS features, you represent and warrant that:

  • You have obtained proper consent from each customer before adding them to ReviewSimple
  • Customers have provided their phone number voluntarily as part of a legitimate business transaction
  • You will only send review requests to customers who have actually received service from your business
  • You will comply with all applicable laws including the Telephone Consumer Protection Act (TCPA)
  • You will not use the service to send unsolicited messages to individuals who have not done business with you

Important TCPA Notice

You are responsible for ensuring TCPA compliance. ReviewSimple provides the technology platform, but you are responsible for obtaining proper consent from your customers before sending them SMS messages. Failure to obtain proper consent may result in legal liability for your business.

4. Email Messaging Terms

Email Service Description

ReviewSimple sends email messages to your customers on your behalf to request reviews of their experience with your business.

Email Frequency: One (1) email per customer per service interaction unless additional follow-ups are enabled.
Email Content: Emails will identify your business by name and include a link to rate their experience.
Opt-Out: Every email includes an unsubscribe link at the bottom for recipients to opt out.
Sender Identification: All emails clearly identify your business as the sender.

Your Email Consent Obligations

By using ReviewSimple's email features, you represent and warrant that:

  • You have a legitimate business relationship with each customer you send review requests to
  • Customers have provided their email address voluntarily as part of a legitimate business transaction
  • You will only send review requests to customers who have actually received service from your business
  • You will comply with all applicable laws including the CAN-SPAM Act
  • You will not use the service to send unsolicited emails to individuals who have not done business with you

CAN-SPAM Compliance Notice

You are responsible for ensuring CAN-SPAM compliance. ReviewSimple provides the technology platform with compliant email infrastructure, but you are responsible for only emailing customers with whom you have a legitimate business relationship.

5. Account Terms

  • You must be at least 18 years old to use the Services
  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • One person or business may not maintain more than one free trial account

6. Acceptable Use

You agree not to use the Services to:

Prohibited Activities

  • Send messages to individuals who have not consented or done business with you
  • Create fake reviews or manipulate review content
  • Offer incentives for positive reviews only (review gating)
  • Violate any applicable laws or regulations
  • Send spam, harassing, or threatening messages
  • Impersonate another person or business
  • Interfere with or disrupt the Services
  • Resell the Services without authorization

7. Payment Terms

  • Free Trial: New accounts receive a 14-day free trial with limited usage
  • Subscription: After the trial, you must subscribe to continue using the Services
  • Billing: Subscriptions are billed monthly in advance
  • Payment Method: We accept major credit cards via Stripe
  • Price Changes: We may change prices with 30 days notice
  • Refunds: We do not provide refunds for partial months of service
  • Cancellation: You may cancel your subscription at any time through your dashboard. Access continues until the end of the billing period

8. Intellectual Property

The Services and all content, features, and functionality are owned by ReviewSimple and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of your data. By using the Services, you grant us a limited license to use your data solely to provide the Services to you.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not guarantee:

  • That customers will respond to review requests or leave reviews
  • Any specific number of reviews or rating improvements
  • Uninterrupted or error-free service
  • That SMS messages will be delivered (carrier issues may occur)
  • Compatibility with any specific review platform's terms of service

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIEWSIMPLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability for any claims arising from your use of the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ReviewSimple and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your failure to obtain proper consent for SMS messaging.

12. Termination

We may suspend or terminate your access to the Services at any time for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Services will immediately cease. We may delete your data after a reasonable retention period unless required by law to retain it.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
